The scope of work for each project will be outlined in a separate proposal, quotation, statement of work, or service agreement.
2. Client Responsibilities
The client agrees to:
- Provide accurate and complete information required for the project.
- Respond to requests for approvals or feedback in a timely manner.
- Supply all required content, branding assets, and login credentials when necessary.
- Ensure they have the legal rights to any materials they provide.
Delays in receiving required information may result in project delays.
3. Pricing and Payments
Fees are outlined in the applicable proposal or invoice.
Unless otherwise agreed:
- Invoices are payable upon receipt.
- Work may not begin until the agreed deposit or initial payment has been received.
- Recurring services are billed according to the agreed billing cycle.
- Late payments may result in suspension of services until payment is received.
All prices are exclusive of applicable taxes unless otherwise stated.
4. Cancellation Policy
Project-Based Services
Either party may cancel a project by providing written notice.
If the client cancels after work has commenced:
- The client remains responsible for payment for all work completed up to the cancellation date.
- Any unpaid invoices become immediately due.
- Any deposit paid is non-refundable except where required by applicable law.
Monthly or Recurring Services
For recurring services (such as marketing management, AI automation maintenance, SEO, or advertising management):
- Either party may terminate the agreement by providing at least thirty (30) days’ written notice unless otherwise stated in the service agreement.
- Services already performed remain payable.
- No partial refunds are provided for unused portions of a billing period unless otherwise agreed.
5. Refund Policy
Because our services involve professional time, expertise, consulting, strategy, and customized work, refunds are limited.
Non-Refundable Services
The following are generally non-refundable once work has begun:
- Consulting sessions
- Strategy development
- AI workflow design
- Website design and development
- Marketing campaigns
- Advertising setup
- Software implementation
- Graphic design
- Content creation
- Custom development work
- Research and discovery work
Refund Eligibility
Refunds may only be considered if:
- Ciphermedia is unable to deliver the agreed service due solely to our own failure.
- A duplicate payment was made.
- A billing error occurred.
Approved refunds will be processed using the original payment method where possible.
6. Changes to Project Scope
Any work requested outside the original agreed scope may require:
- Additional fees
- Revised timelines
- A separate quotation
Ciphermedia reserves the right to decline requests outside the agreed scope.
7. Intellectual Property
Unless otherwise agreed in writing:
- The client retains ownership of materials they provide.
- Ciphermedia retains ownership of its proprietary methods, templates, frameworks, software, workflows, internal documentation, and intellectual property.
- Upon full payment, the client receives ownership or an appropriate license to the final deliverables specifically created for them, except where third-party software or licensing restrictions apply.
8. Third-Party Services
Projects may involve third-party platforms such as advertising platforms, CRM systems, hosting providers, AI services, payment processors,
analytics tools, or software subscriptions.
Ciphermedia is not responsible for:
- Changes made by third-party providers
- Service outages
- Platform suspensions
- Account restrictions
- Pricing changes imposed by third parties
The client remains responsible for any third-party subscription or licensing fees unless otherwise agreed.
9. Performance Disclaimer
Marketing, advertising, AI automation, and business consulting involve many factors outside our control.
Accordingly:
- We do not guarantee specific sales, revenue, leads, rankings, conversions, or business outcomes unless expressly stated in a separate written agreement.
- Past performance does not guarantee future results.
10. Confidentiality
Both parties agree to keep confidential information private and not disclose it to third parties except where required by law or necessary to perform the agreed services.
11. Limitation of Liability
To the maximum extent permitted by law, Ciphermedia shall not be liable for:
- Indirect damages
- Consequential damages
- Lost profits
- Loss of business
- Loss of data
- Business interruption
Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service giving rise to the claim.
12. Indemnification
The client agrees to indemnify and hold Ciphermedia harmless against claims, damages, liabilities, costs, and expenses arising from:
- Materials supplied by the client.
- The client’s misuse of deliverables.
- The client’s violation of applicable laws or third-party rights.
13. Force Majeure
Neither party shall be liable for delays or failure to perform caused by circumstances beyond reasonable control, including natural disasters,
internet outages, government actions, labor disputes, pandemics, cyberattacks, or failures of third-party service providers.
14. Termination
Ciphermedia may suspend or terminate services if:
- Payments remain overdue.
- The client engages in abusive, fraudulent, or unlawful conduct.
- Continued performance becomes commercially impractical.
Termination does not affect any payment obligations accrued before termination.
15. Privacy
Your use of our services is also subject to our Privacy Policy, which explains how we collect, use, and protect personal information.
16. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria unless otherwise agreed in writing.
Any disputes shall first be addressed through good-faith negotiations. If unresolved, they shall be submitted to the courts of competent jurisdiction in Nigeria.
17. Changes to These Terms
Ciphermedia may update these Terms from time to time. The updated version will become effective upon publication on our website unless otherwise stated.
